Important Notice — Read Carefully: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. BY USING THE SERVICES, YOU AGREE THAT, WITH LIMITED EXCEPTIONS, DISPUTES BETWEEN YOU AND TULLO WILL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT OR BY JURY TRIAL.Tullo LLC, a Delaware limited liability company, and its subsidiaries and affiliates (collectively, “Tullo,” “we,” “us,” or “our”) provide a digital platform and related applications that connect riders with independent professional drivers for
Black service transportation (Black sedans and Black SUVs). These U.S. Terms of Use (“Terms”) are a legally binding agreement governing your access to and use of Tullo’s websites, mobile applications, and associated content and services (the “Services”). The Services are currently available in the United States, beginning in the Houston, Texas area, with plans to expand to additional states.
By creating an account or using the Services, you accept these Terms and our Supplemental Terms (including our Privacy Notice, Community Guidelines, Referral Policies, and other posted policies). If you do not agree, do not access or use the Services.
1. Relationship, Termination, and Changes
Contractual relationship. These Terms govern your use of the Services. “Including” means “including without limitation.”
Termination. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, or legal compliance. You may stop using the Services at any time. Provisions that by nature should survive termination will do so.
Modifications. We may update these Terms or policies at any time. Changes are effective upon posting. Continued use after posting constitutes acceptance.
2. Arbitration Agreement and Class Action Waiver
Agreement to arbitrate. You and Tullo agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services
exclusively by binding, individual arbitration, except as stated below. You and Tullo waive the right to a jury trial and class action participation.
Rules and forum (Texas-specific). Arbitration will be administered by the
American Arbitration Association (AAA) under its applicable rules (including the
Consumer Arbitration Rules) by a single neutral arbitrator. The
Federal Arbitration Act (FAA) governs the interpretation and enforcement of this clause. Unless you and Tullo agree otherwise, the seat and venue of arbitration will be
Harris County, Texas.
Pre-arbitration process. Before demanding arbitration, the initiating party must send written notice and the parties must personally meet and confer within 60 days to attempt resolution. Deadlines are tolled during this period.
Location and costs. Hearings (if any) will occur in Harris County, Texas, or by video at the arbitrator’s discretion. Fees will follow AAA rules and applicable law.
Exceptions. This agreement does not apply to (i) small claims court cases, (ii) individual claims of sexual assault or harassment, or (iii) intellectual property claims seeking equitable relief.
Severability. If part of this clause is unenforceable, the rest remains effective. Class-wide claims must proceed in court, while individual claims remain in arbitration.
3. What Tullo Provides
Tullo operates a marketplace platform enabling you to request
Black service transportation from independent third-party drivers (“Third-Party Providers”). Providers are independent contractors — not employees or agents of Tullo. Any safety features, standards, or support do not create employment or agency relationships.
4. Third-Party Services and Content
The Services may link to third-party websites or content not controlled by Tullo. Use at your own risk and subject to those third parties’ terms and privacy policies.
5. Access and Accounts
Users must be at least 18 to create an account. You agree to provide accurate information and maintain account security. You’re responsible for activity under your account and must promptly report unauthorized use.
6. User Conduct and Content
You agree to act respectfully and lawfully while using the Services. Any feedback or content submitted to Tullo may be used without obligation.
7. Pricing, Payments, and Refunds
Charges may include base fares, fees, tolls, and taxes. Payment processing is handled by third-party providers. Payments are final unless Tullo determines otherwise. Tipping is optional. Refunds must be requested within 30 days.
8. Disclaimers, Limitation of Liability, and Indemnity
Disclaimer. The Services are provided “as is” and “as available.” Tullo disclaims all warranties to the fullest extent permitted by law. Use at your own risk.
Limitation of liability. To the extent permitted by law, Tullo shall not be liable for indirect, incidental, or consequential damages. Liability, if any, is limited to the maximum extent permitted by law.
Indemnity. You agree to indemnify and hold harmless Tullo, its affiliates, and personnel from any losses or damages arising from your use of the Services or violation of these Terms.
9. Choice of Law and Venue
Except as stated above, these Terms are governed by the laws of the
State of Texas. Non-arbitrable disputes must be brought exclusively in the
state or federal courts of Harris County, Texas.
